Vanguard Capital Management Investment Stewardship (VCMIS) is made up of an experienced team of global corporate governance professionals.
Launched in 2026, the team is responsible for policy development, proxy voting, and company engagements for Vanguard’s global index strategies, funds-of-funds, and most of Vanguard funds’ securities outside of the U.S.
We disclose proxy voting policies to provide context for votes cast on funds stewarded by VCMIS. The Global Proxy Voting Policy describes general positions on matters that may be subject to a vote by portfolio company shareholders. This policy guides proxy voting at the shareholder meetings of companies around the globe and serves as the foundation of the regional proxy voting policies below.
The regional proxy voting policies describe the general positions of the U.S. funds on matters that may be subject to a shareholder vote at companies domiciled in each region. These policies are approved by the U.S. funds’ boards on an annual basis and published on Vanguard’s websites.
